1. About these terms
These terms and conditions govern the Managed WordPress Ultimate service ("the Service") supplied by ED Hosting & Design
(ABN 85878345151) ("EDH", "we", "us", "our") to you, the customer ("you", "your").By signing up for the Service, you agree to these terms. Please read them carefully. The most important thing to understand up front is this: the website included with the Service is leased to you for use while you host with us. You do not own it unless you buy it out. This is explained in full in section 4.All prices quoted are inclusive of GST, unless otherwise specified.If anything here is unclear, contact us before you sign up and we will walk you through it.
2. What the Service includes
Managed WordPress Ultimate bundles together:
- A professionally built WordPress website of up to four (4) pages (Home, About, Services/Features, and Contact);
- Fully managed WordPress hosting;
- Ongoing security, maintenance and updates (see section 10).
The website is included as part of the Service. There is no separate upfront build charge for the standard four-page site.
3. Pricing and billing
- The Service is charged at $79 per month, billed quarterly in advance at $237 per quarter (all amounts in AUD and including GST).
- There is no minimum term. You may cancel at any time, subject to section 8 (Cancellation) and section 7 (Refunds).
- Billing continues each quarter until the Service is cancelled.
- Prices are current as at the date above and may be varied at any time by Ed Hosting, with written confirmation.
4. The website is leased, not owned
This is the key term of the Service, so we want it to be completely clear.
- While the Service is active, EDH owns the website. You are paying for the right to use it as part of your hosting - you are leasing it, not buying it.
- You do not own the website, its design, its theme, its build, or any material supplied by EDH as part of it, unless and until you purchase the site outright under section 6.
- The content you provide to us (your text, your images, your logo, your business information) remains yours. What remains ours is the site itself as built and assembled by EDH, and any design, theme or build elements we supply.
- If the Service ends without a buyout, your right to use the website ends as well. See section 8.
You acknowledge and accept this leasing arrangement when you sign up.
5. The domain
- While the Service is active, EDH owns and holds the domain name used for your website.
- The domain can be transferred to you, but only as part of a buyout of the site under section 6, and for the additional fee set out there.
- You cannot take the domain while leaving the website with EDH. The domain is only released to you together with a full site buyout.
6. Buying the site outright (buyout)
You may purchase the website outright at any time.
- The buyout price is $5,500 (flat), regardless of how many pages the site has. Extra pages are paid for at build time (see section 11), so the buyout price does not change with page count.
- No credit is given for hosting or Service payments you have already made. The buyout price is in addition to amounts already paid.
- On completion of the buyout, you gain full ownership of the website and may do whatever you like with it.
- The domain can be transferred to you as part of the buyout for an additional $550, bringing the site-plus-domain total to $6,050.
- Domain transfer is only available as part of a buyout (see section 5).
7. Refunds
Quarterly fees are billed in advance. If you cancel part-way through a quarter, the current quarter that has already been paid is not refunded, and the Service continues until the end of that paid quarter. No further quarters are billed after cancellation.Nothing in this section limits any rights you have under the Australian Consumer Law that cannot be excluded (see section 12).
8. Cancellation, recovery and deletion
- You may cancel the Service at any time. There is no minimum term.
- When the Service is cancelled, the website is deactivated along with the hosting, unless you have purchased the site outright under section 6.
- There is a 14-day recovery window from the date of cancellation during which you can recover or reinstate the site (for example, by reactivating the Service or completing a buyout).
- After the 14-day recovery window ends, the website is permanently deleted and cannot be recovered.
- On cancellation you keep only the content you have saved or recorded yourself beforehand. You do not automatically receive the build, theme, design, or any other material supplied by EDH.
9. Your responsibility to save your own content
- You are responsible for keeping your own copies of any content you want to retain - your text, images, logo and business information.
- We strongly recommend you save this content before cancelling, and keep it up to date over time.
- Once the recovery window in section 8 has passed and the site is deleted, EDH is not able to provide the site or its contents back to you.
You acknowledge and accept this responsibility when you sign up.
10. Maintenance and security included
The Service includes ongoing management, maintenance and security for your website while it is active, comprising:
- Plugin updates, applied carefully and checked;
- WordPress core updates (major and minor);
- Theme updates, with layout checks;
- Enterprise-grade security and a web application firewall;
- Malware scanning across core, themes, plugins, uploads and database;
- File integrity monitoring against official repository versions;
- Plugin and theme vulnerability audits against published databases;
- Blocklist and reputation monitoring;
- A monthly security audit;
- A monthly site health check.
11. Pages and extra pages
- The standard included site is four (4) pages: Home, About, Services/Features and Contact.
- Additional pages can be added at $450 each. This is a one-off build cost per page, charged at the time the page is built.
- Extra pages, once built and paid for, form part of your leased site under section 4 and are included in any later buyout at no additional buyout cost (the buyout price remains $5,500 flat).
12. How your site is built - build scope and revisions
- Your website is built from the details, content and materials you provide through the data collection form. It is important that the information you give us is complete and accurate, because your site is created based on what you supply.
- The Service includes the initial build of your site from that information. Minor corrections - such as fixing typos or incorrect details - are covered within reason after handover.
- This does not extend to reworking the site because information you supplied was substantially incorrect or has since changed, or to broader changes such as redesigns, restructures, added pages or new content. These are treated as additional work.
- Any additional work is quoted to you separately and agreed before we proceed, so you know the cost up front.
13. Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where our liability for a failure to comply with such a guarantee cannot be excluded but can be limited, our liability is limited to the extent permitted by law.
14. Acknowledgements at signup
By signing up for Managed WordPress Ultimate, you confirm that you understand and accept that:
- The website is leased to you for use while you host with EDH, and is not owned by you unless you buy it out (section 4);
- EDH owns the domain while the Service is active, and the domain is only released as part of a buyout (sections 5 and 6);
- If you cancel, the website is deactivated, there is a 14-day recovery window, and after that the site is permanently deleted (section 8);
- You are responsible for saving your own content before cancellation (section 9);
- The buyout price is $5,500 flat with no credit for payments already made, and domain transfer is an additional $550 available only as part of a buyout (section 6).
15. General
- Changes to these terms: We may update these terms from time to time. We will give you reasonable notice of any material change.
- Governing law: These terms are governed by the laws of [State/Territory], Australia, and you submit to the courts of that jurisdiction.
- Entire agreement: These terms, together with any order or signup details you accept, form the agreement between you and EDH for the Service.
